Provider Agreement for screenings4u
This Provider Agreement (“Agreement”) is made and entered into as of the ___ day of ____, 20__ (“Effective Date”) by and between screenings4u, LLC located at 8537 S Pulaski Rd, Chicago, IL 60652 (“Provider”), and [Client Name], located at [Client Address] (“Client”).
1. Purpose of Agreement
The purpose of this Agreement is to outline the terms and conditions under which the Provider will offer DOT (Department of Transportation) and Non-DOT laboratory testing services to the Client. The Provider partners with laboratories that are certified by SAMHSA (Substance Abuse and Mental Health Services Administration) to conduct the necessary testing.
2. Services Provided
The Provider agrees to facilitate DOT and non-DOT laboratory testing through its partner labs, which are SAMHSA-certified to ensure compliance with applicable regulations and standards.
screenings4u shall create and maintain accounts for the Client, enabling easy access to lab testing services and results.
The results of all tests conducted on behalf of the Client will be provided to the Client as soon as they are received.
3. Payment Terms
The Client agrees to pay all invoices issued by the Provider within thirty (30) days of the invoice date.
Invoices will be issued based on services rendered and any fees associated with the testing.
The Client acknowledges that failure to make timely payments may result in the suspension of services until all outstanding payments are made.
4. Responsibilities of the Provider
The Provider will ensure that all laboratory testing conducted through its partners adheres to SAMHSA standards and applicable federal, state, and local laws.
The Provider will work diligently to provide accurate and timely results to the Client and communicate any issues or delays as soon as they arise.
The Provider agrees to maintain the confidentiality of the Client’s data and utilize it only for the purposes of fulfilling its obligations under this Agreement.
Provider will send the Client DOT and NON-DOT CCFs, collection kits, shipping labels, and other supplies.
5. Responsibilities of the Client
The Client shall be responsible for providing accurate and complete information necessary for the laboratory testing process.
The Client agrees to comply with all laws and regulations related to substance testing and to inform its employees and clients accordingly.
The Client shall be responsible for collecting and storing specimens, packaging and labeling, and shipping all specimens to the specified address on the shipping label.
6. Confidentiality and Data Protection
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the term of this Agreement.
In compliance with applicable federal and state laws, the Provider shall implement reasonable safeguards to protect the confidentiality and security of client data.
7. Term and Termination
This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon thirty (30) days written notice.
Either party may terminate this Agreement for cause if either party fails to perform or comply with any material term or condition herein and fails to cure such failure within ten (10) days after receipt of a written notice specifying such failure.
8. Limitation of Liability
In no event shall the Provider be liable for any indirect, incidental, or consequential damages arising out of this Agreement or the services provided, even if the Provider was advised of the possibility of such damages.
The Provider's total liability for any claim arising under this Agreement shall not exceed the total fees paid by the Client for the services in question.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.
10. Entire Agreement
This Agreement represents the entire understanding between the Provider and the Client regarding the subject matter herein and may not be amended except in writing signed by both parties.
